Terms of Service

PLEASE NOTE:

These Terms include a binding arbitration clause and class action waiver in Section 19. You may opt out of arbitration within 30 days of creating your account. See Section 19.6 for details.

1. Agreement to Terms

By creating a Supload account, you agree to these Terms of Service (“Terms”). During account creation, you will see a notice that by continuing, you agree to these Terms and our Privacy Policy. If you do not agree, do not create an account or use the App.

These Terms are a legally binding agreement between you and Supload LLC (“we,” “us,” “our”), a Pennsylvania limited liability company.

2. What Supload Does

Supload is a camera app for work. It replaces the three-app juggle — Camera, Photos, Google Drive — with a single workflow built for the field.

The App lets you:

  • Capture photos and videos with a full-featured camera built for work — up to 4K, zoom 0.5x–10x, night mode, self-timer, tap-to-focus, exposure control, multiple aspect ratios — purpose-built so work photos never mix with personal ones
  • Organize into temporary groups by project — new captures auto-land in your active group, drag-and-drop between groups, merge and reorder. Groups are ephemeral staging areas, not permanent storage
  • Upload directly to your cloud storage (Google Drive, Dropbox) — browse folders, create subfolders, and hit upload. Runs in the background with checkpoint-based resume. Local files are deleted from your device once safely in the cloud
  • Share via Messages, Mail, AirDrop, or any app — or upload to cloud and share a link for large batches
  • Tag locations with optional GPS metadata embedded in photo EXIF data, viewable on an in-app map — useful for job sites, inspections, and field documentation

Supload is a conduit between your device and your cloud storage. We facilitate the upload. We do not store, host, or process your media files on our servers. Your content goes from your phone to your cloud. That’s it.

3. Who Can Use Supload

You must be at least 13 years old (or 16 in the EEA), have a valid email account, have legal capacity to enter these Terms, and not be prohibited from using the App under applicable law.

If you use Supload on behalf of an organization, you represent that you have authority to bind that organization.

3.1 Age Verification

In states where App Store Accountability Acts are in effect, Apple may verify your age category and parental consent status. If you are under 18, your parent or guardian may need to authorize your use through Apple’s Family Sharing or similar mechanism as required by state law.

4. Your Account

4.1 How to Sign In

Authenticate via Google Sign-In, Sign in with Apple, or your organization’s SSO.

4.2 Your Responsibilities

You are responsible for keeping your credentials secure, for all activity under your account, and for notifying us promptly of suspected unauthorized access. We are not liable for loss or damage from unauthorized use.

4.3 One Cloud Account Per Provider

Link one cloud storage account per provider (e.g., one Google Drive and one Dropbox simultaneously). Unlink and re-link at any time.

4.4 Terms Acceptance Record

When you create your account, we store the Terms version you accepted and the timestamp of acceptance. This record verifies which Terms apply to your account. It is deleted when you delete your account.

5. Cloud Storage

5.1 Linking

To upload, link at least one supported cloud account: Google Drive or Dropbox. Additional providers (including OneDrive) may be supported in future releases.

5.2 What We Can Do

When you link a cloud service, you authorize Supload to browse folder structures, create new folders, and upload files. We do not request permission to read, download, modify, or delete your existing files.

5.3 Third-Party Terms Apply

Your use of cloud storage through Supload is also governed by Google’s Terms and Dropbox’s Terms. You are responsible for complying with your cloud provider’s terms.

5.4 Availability

We do not guarantee continuous cloud connectivity, upload completion, cloud provider availability, or any specific uptime percentage. Upload failures are retried automatically with checkpoint-based resume, but delivery depends on your cloud provider and network. For Enterprise customers, service level commitments may be documented in a separate Service Level Agreement.

6. Your Content

6.1 You Own It

You retain full and exclusive ownership of all photos, videos, and other content you capture, create, or upload through Supload. We claim no IP rights, licenses, or ownership interest in your content.

6.2 We Never See It

We do not access, view, analyze, scan, moderate, or process your photos or videos. Your content goes directly from your device to your cloud storage without passing through our servers.

6.3 Your Responsibilities

You are responsible for your content, including compliance with applicable laws and cloud provider terms, obtaining necessary permissions (photographing people, copyrighted material, private property), and managing your cloud storage.

6.4 Prohibited Content

Do not use Supload to capture, store, or distribute content that is illegal, constitutes CSAM, infringes others’ IP, contains malware, or violates others’ privacy without consent.

7. Acceptable Use

Use Supload for its intended purpose. Do not use it unlawfully, attempt unauthorized access, reverse engineer the App, distribute harmful content, interfere with services, use bots (except authorized enterprise integrations), circumvent security features, or impersonate others.

8. Subscription Plans, Billing, and Auto-Renewal

8.1 Plans

  • Free — Basic access, limited features
  • Pro — Enhanced features for individuals
  • Business+ — Collaborative tools and team management
  • Enterprise — Full feature suite with security and compliance

8.2 How Billing Works

Individual users (Pro): Billed through Apple In-App Purchase. We do not collect or store payment card information for App Store purchases.

Business and Enterprise: May be billed directly through Stripe via the customer portal. We receive subscription status and billing email but never full card numbers.

8.3 Auto-Renewal

Your subscription renews automatically at the end of each billing period at the then-current rate unless you cancel before the renewal date.

App Store subscriptions: Manage or cancel in iOS Settings > [your name] > Subscriptions > Supload. Takes effect at end of current period.

Direct-billed accounts: Cancel at [email protected] or through the customer portal. Takes effect at end of current period.

We will never make cancellation more difficult than sign-up.

8.4 Free Trials

If we offer a free trial, we clearly disclose the duration, what happens when it ends, and the price upon conversion. You receive a reminder before charges begin.

8.5 Price Changes

At least 30 days’ notice. For App Store subscriptions, Apple notifies you and requires consent. For direct-billed accounts, we notify by email.

8.6 Refunds

App Store: Per Apple’s refund policies. Direct-billed: Contact [email protected] within 14 days.

8.7 Downgrading

You keep paid features through the end of your billing period. Then Free-tier functionality applies. Your data is preserved — you lose nothing.

9. Enterprise and Organization Accounts

9.1 Organization Features

Your administrator may configure cloud policies, require SSO, and access aggregated usage analytics (not individual photos or videos). Organization membership is managed by your administrator.

9.2 Data Ownership

Organizations own the organizational data (group structures, team configurations, aggregated analytics) generated through their use of the service. Individual users’ photos remain their own — uploaded to each user’s personal cloud storage and not accessible to the organization through the App.

9.3 Plan Terms

Organization plans are governed by separate agreements. If those terms conflict with these Terms, the organization agreement governs for features it covers.

9.4 Customer Portal

Business and Enterprise customers manage user allocation, billing, and account settings through the Supload customer portal, hosted on Cloudflare Pages. Use of the portal is governed by these Terms.

9.5 Leaving an Organization

Your personal account stays active. Files in your personal cloud storage remain yours. Organization-managed cloud connections may be revoked.

10. Privacy

Our Privacy Policy describes how we handle your information. Key points:

  • We never store your photos or videos on our servers
  • First-party analytics only — no third-party trackers
  • Location and analytics are optional
  • Crash reports retained 90 days; analytics 28 days
  • Delete your account and all data anytime

By creating an account, you consent to the data practices in the Privacy Policy.

11. Intellectual Property

11.1 Our IP

The Supload application — design, interface, code, graphics, icons, logos, branding — is the intellectual property of Supload LLC.

You receive a limited, non-exclusive, non-transferable, revocable license to use the App on your iOS device(s) for its intended purpose.

11.2 Restrictions

Do not copy, modify, distribute, create derivative works, or sub-license the App. Do not use the Supload name, logo, or branding without written permission.

11.3 Open-Source Components

The App includes open-source components subject to their respective licenses, listed in Settings > About > Open Source Licenses. These Terms do not restrict your rights under those licenses.

11.4 Feedback

If you provide suggestions or feedback, you grant us a non-exclusive, royalty-free, worldwide license to use and incorporate that feedback without obligation.

12. On-Device Processing and AI Disclosure

All processing happens on your device: capture, encoding, compression, thumbnail generation, night mode, red-eye reduction, caching. No AI, machine learning, or cloud-based processing in version 1.0.

Future on-device intelligence (scene detection, OCR, document scanning) will use Apple’s Core ML and Vision exclusively, process entirely on-device, never train on your content, and be disclosed in updated Terms before release.

13. Beta and Pre-Release Features

Pre-release versions through TestFlight are “as is” without warranties, may contain bugs, may be discontinued at any time, and are not guaranteed to ship.

14. Disclaimers

In plain terms: we provide Supload as it exists today. We work hard to make it reliable, but we cannot promise perfection.

SUPLOAD IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted service, upload completion, cloud provider availability, data preservation, or compatibility with all devices or iOS versions.

We are not responsible for the acts, omissions, availability, or policies of Google Drive, Dropbox, Google Sign-In, Sign in with Apple, Stripe, Supabase, or Cloudflare.

15. Limitation of Liability

In plain terms: if something goes wrong, the most we owe you is $50 or whatever you paid us in the last year, whichever is more.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPLOAD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, UNAUTHORIZED ACCESS TO YOUR CLOUD STORAGE, ACTIONS BY THIRD-PARTY PROVIDERS, OR SERVICE INTERRUPTIONS.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

16. Indemnification

You agree to indemnify, defend, and hold harmless Supload LLC from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the App, your violation of these Terms, your violation of third-party rights, content you capture or upload, or your violation of applicable law.

17. Account Termination

17.1 By You

Profile > Account > Delete Account, anytime.

On deletion: account data permanently removed from backend (cascading to all tables), local files cleared, UserDefaults keys removed, Keychain items deleted, SDWebImage cache cleared, local crash logs deleted. Files in your cloud storage are not affected.

17.2 By Us

We may suspend or terminate access without notice if you violate these Terms, your use could harm others, we are required to by law, or we discontinue the App.

17.3 What Survives

Sections 6 (ownership), 11 (IP), 14 (disclaimers), 15 (liability), 16 (indemnification), and 19 (dispute resolution).

18. App Store Terms

The App is distributed through the Apple App Store and subject to Apple’s Licensed Application EULA. If these Terms conflict with Apple’s EULA, Apple’s EULA governs. Apple has no maintenance or support obligation, is not responsible for claims related to your use, and is a third-party beneficiary.

19. Dispute Resolution

19.1 Governing Law

Delaware law governs, without regard to conflict of law provisions.

19.2 Informal Resolution First

Before arbitration, we both try resolving the dispute informally for 30 days. Send a written description to [email protected] or Supload LLC, 127 Pembroke CT, Exton, PA 19341.

19.3 Binding Arbitration

If informal resolution fails, you and Supload LLC agree to resolve the dispute through binding individual arbitration under AAA Consumer Arbitration Rules, governed by the Federal Arbitration Act.

Supload LLC pays all filing fees and arbitrator costs for claims under $10,000 (unless frivolous). Above $10,000, fees split per AAA rules. Hearings by phone or video unless the arbitrator determines in-person is necessary.

19.4 Class Action Waiver

Disputes will be resolved only on an individual basis. No class, consolidated, or representative proceedings. If a court finds this waiver unenforceable, the entire arbitration agreement (19.3) is void — the rest of these Terms remain.

19.5 Exceptions

Either party may bring an individual small claims action, seek injunctive relief for IP protection, or file complaints with government agencies (FTC, state AGs, data protection authorities).

19.6 Your Right to Opt Out

Opt out of arbitration within 30 days of creating your account. Email [email protected] with subject “Arbitration Opt-Out,” your name, account email, and a clear opt-out statement. Sections 19.3 and 19.4 will not apply to you. All other Terms remain.

19.7 Jurisdiction

For non-arbitrated claims, exclusive jurisdiction in Delaware state or federal courts.

19.8 Your Statutory Rights

Nothing limits your consumer protection rights. Unenforceable provisions are modified to the minimum extent necessary.

20. Export Compliance

Comply with all U.S. and international export laws. Do not export the App to embargoed countries or sanctioned parties.

21. Future APIs

Use of any future Supload API will be governed by separate API Terms.

22. Changes to These Terms

We update the “Last Updated” date and provide in-app notification at least 30 days before material changes take effect. If we modify the arbitration clause (Section 19), existing users may opt out of the new terms within 30 days.

23. Miscellaneous

Entire Agreement. These Terms, Privacy Policy, and any organization agreements constitute the complete agreement.

Severability. Invalid provisions don’t affect the rest.

Waiver. Not enforcing a right doesn’t waive it.

Assignment. You cannot assign without our consent. We may assign without restriction.

No Third-Party Beneficiaries. None except Apple (Section 18).

Force Majeure. We are not liable for delays from circumstances beyond our reasonable control.
